Terms of Use — Ledger

These Terms of Service ("Terms") are a binding agreement between you and Ryan Calpin
("CalpinLabs," "we," "us," or "our") governing your use of the Ledger: Credential Tracker
iOS application and its related features (collectively, the "App"). By downloading, installing,
or using the App, you agree to these Terms. If you do not agree, do not use the App. You must be at least the age of majority in your place of residence (or have verifiable parental
consent where required by law) to use the App and to purchase Ledger Pro.

1. What Ledger Is — and What It Isn't

Ledger is a personal organizational tool that helps you record and track professional
licenses, certifications, and continuing-education ("CE") activities. It scans documents,
extracts information, displays progress toward goals you configure, and sends reminders you opt
into. Ledger is a convenience tool, not a system of record or a compliance authority. You are
solely responsible for maintaining your professional credentials, meeting your licensing or
certification requirements, and renewing on time. Ledger does not submit, report, verify, or
guarantee anything to any licensing board, certifying body, employer, or regulator. The
official record of your credentials and CE always rests with those organizations — never with
Ledger.

2. No Professional, Legal, or Regulatory Advice

The App, including its requirement templates, category suggestions, pacing guidance, and any
text it generates or extracts, is provided for general informational and organizational purposes
only. It does not constitute legal, professional, regulatory, accounting, or medical advice. Requirement templates are starting points based on publicly available board rules at a point
in time. Licensing and certification requirements change frequently and vary by jurisdiction,
license type, renewal cycle, and individual circumstances. You must independently verify all
requirements directly with your licensing board or certifying body. Do not rely on the App to
determine whether you are compliant or eligible for renewal.

3. AI Extraction and Accuracy

Ledger uses on-device text recognition and Apple Intelligence (where available) to read your
documents and pre-fill fields. This processing is automated and may be inaccurate or
incomplete. Confidence indicators are estimates, not guarantees. You are responsible for reviewing every extracted record before saving it and for correcting any
errors. We are not responsible for decisions you make based on extracted, parsed, or
auto-populated data that you did not verify.

4. Reminders Are Best-Effort

Ledger schedules local notifications to help you stay ahead of renewals and pacing goals.
Delivery of these reminders depends on your device, operating system, notification permissions,
power state, and settings outside our control. Reminders may be delayed, suppressed, or not
delivered at all. Do not rely on Ledger's reminders as your sole or primary method of tracking
deadlines.

5. Your Data and Privacy

Ledger is built to keep your data on your device. We do not operate accounts or servers for the
App, and we do not collect your credentials, certificates, or CE records. Optional iCloud sync
stores your data in your own private Apple iCloud, governed by Apple's terms, and is not
accessible to us. Our handling of data is described in our Privacy Policy at
https://ryancalpin.notion.site/calpinlabs, which is incorporated into these Terms by
reference. You are responsible for maintaining your own backups (for example, by keeping the original
certificates and by enabling iCloud or device backups). We are not responsible for data loss
resulting from device failure, deletion, app removal, OS issues, or disabled sync.

6. Free Tier, Ledger Pro, Subscriptions, and Purchases

Free tier. Ledger is free to download and includes a limited number of credentials and CE
records, as described in the App. Ledger Pro. Pro unlocks additional features (such as unlimited credentials and records,
audit-ready exports, and custom reminder cadences). Pro is offered as auto-renewing
subscriptions (monthly and annual) and as a one-time "Lifetime" purchase. Current prices are
shown in the App at the time of purchase. Billing through Apple. All purchases and subscriptions are processed by Apple through your
Apple Account and are subject to Apple's Media Services Terms and Conditions. We do not receive
or store your payment information. Auto-renewal. Auto-renewing subscriptions renew automatically at the end of each period
unless cancelled at least 24 hours before the period ends. Your Apple Account is charged for
renewal within 24 hours prior to the end of the current period. You can manage or cancel
subscriptions in your device's Settings → \[your name\] → Subscriptions. Free trials. Where offered (for example, a 7-day trial on the annual plan), a free trial
converts to a paid subscription at the end of the trial period unless you cancel before it ends.
Any unused portion of a free trial is forfeited when you purchase a subscription. Lifetime purchase. The "Lifetime" option is a one-time, non-consumable purchase that unlocks
the Pro features available in the App for as long as it remains technically and commercially
feasible to provide them. It does not guarantee any specific future feature, and it is tied to
your Apple Account; you can restore it on your devices via "Restore Purchases." Refunds. Purchases are handled by Apple, and refunds are subject to Apple's policies. We
cannot directly issue refunds for App Store transactions.

7. Acceptable Use

You agree to use the App only for your own lawful, personal record-keeping. You will not: (a)
reverse engineer, decompile, or attempt to extract source code except as permitted by law; (b)
use the App to store content you have no right to store; (c) interfere with or circumvent the
App's security, licensing, or purchase mechanisms; or (d) use the App in any way that violates
applicable law or the rights of others.

8. Intellectual Property

The App, including its software, design, text, and branding, is owned by CalpinLabs and is
protected by intellectual-property laws. We grant you a limited, personal, non-exclusive,
non-transferable, revocable license to use the App on Apple devices you own or control, in
accordance with these Terms and the App Store rules. Your own records, documents, and content
remain yours.

9. Third-Party Services and Links

The App may link to official licensing boards, certifying bodies, and other third-party
resources (for example, to help you verify a license). Those websites and services are operated
by others and governed by their own terms and policies. We do not control and are not
responsible for third-party content, accuracy, or availability.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP
WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR THAT IT WILL DETECT, PREVENT, OR REMIND YOU OF
ANY LAPSE, DEADLINE, OR REQUIREMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN
WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALPINLABS WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA,
CREDENTIALS, LICENSURE, EMPLOYMENT, OR PROFESSIONAL STANDING, ARISING OUT OF OR RELATING TO YOUR
USE OF — OR INABILITY TO USE — THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO
EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP EXCEED THE GREATER OF (A) THE
AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD \$25. You acknowledge that the App's modest price reflects this allocation of risk, and that you bear
ultimate responsibility for your professional compliance.

12. Indemnification

You agree to indemnify and hold harmless CalpinLabs from any claims, losses, liabilities, and
expenses (including reasonable legal fees) arising from your misuse of the App or your violation
of these Terms or of any law or third-party right.

13. Changes to the App and Terms

We may update, modify, or discontinue the App or any feature at any time. We may also update
these Terms; the "Last updated" date reflects the current version, which is posted at
https://ryancalpin.notion.site/calpinlabs. Your continued use of the App after changes take
effect constitutes acceptance of the revised Terms.

14. Termination

These Terms remain in effect while you use the App. We may suspend or terminate your license if
you materially breach these Terms. You may stop using the App at any time by deleting it.
Sections that by their nature should survive termination (including Sections 2, 3, 5, 10, 11, and
12) will survive.

15. Apple-Required Terms

These Terms are between you and CalpinLabs only, not with Apple. Apple is not responsible for the
App or its content. Apple has no obligation to provide maintenance or support for the App. In the
event of any failure of the App to conform to any applicable warranty, you may notify Apple, and
Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has
no other warranty obligation. Apple is a third-party beneficiary of these Terms and may enforce
them against you. You represent that you are not located in a U.S.-embargoed country or on any
U.S. government restricted-parties list, and that you will comply with applicable export laws.

16. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its
conflict-of-laws rules, except where applicable consumer-protection law provides otherwise.
Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer. If any provision of these Terms is found unenforceable, the remaining provisions will remain in
full force and effect.
